These Terms of Service ("Terms") are a binding agreement between you and Bowers Innovation Co., Ltd. ("Bowers," "we," "our," "us"). They govern your access to and use of the Bowers website (bowers.app), web and mobile applications, booking pages, LINE integrations, APIs, and all related services (together, the "Platform").

By creating an account, clicking "I agree," starting a free trial, adding a payment method, making a booking, or otherwise using the Platform, you accept these Terms in full. If you do not agree, do not use the Platform.

These Terms have four parts:

  • Part A applies to everyone
  • Part B applies to businesses that use Bowers to run their operations ("Merchants")
  • Part C applies to people who book or purchase services from Merchants through Bowers ("Customers")
  • Part D sets out legal terms, liability, and dispute resolution for everyone

PART A

GENERAL TERMS (ALL USERS)

A1.Who We Are and What Bowers Does

Bowers is a software platform. We provide tools that let Merchants accept bookings, manage calendars, customers, staff, payroll, commissions, inventory, and communications, and that let Customers discover and book services from Merchants.

Bowers is not a salon, spa, clinic, or service provider. We do not perform, supervise, guarantee, or take responsibility for any service booked through the Platform. Every service is provided by the Merchant alone, under a direct agreement between the Merchant and the Customer.

A2.Eligibility

You must be at least 18 years old (or the age of majority where you live) and capable of entering a binding contract. If you use Bowers on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" includes that business.

A3.Your Account

You are responsible for:

  • keeping your login credentials confidential
  • every action taken through your account, whether or not you authorized it
  • keeping your contact details, billing details, and payment method accurate and current
  • notifying us immediately at support@bowers.app if you suspect unauthorized access

We may rely on any instruction, booking, payment, or change made through your account as authorized by you. Bowers is not liable for any loss arising from your failure to secure your account or keep your details current.

A4.Acceptable Use

You must not:

  • break any law or regulation, or help anyone else do so
  • upload false, misleading, defamatory, obscene, infringing, or harmful content
  • impersonate any person or business
  • access the Platform using bots, scrapers, crawlers, or automated tools without our written consent
  • reverse engineer, decompile, copy, or create derivative works of any part of the Platform
  • probe, scan, overload, or interfere with the Platform, its servers, or security
  • use the Platform to send spam or unsolicited messages
  • resell, sublicense, or white-label the Platform without a written agreement with us
  • use the Platform to compete with Bowers or to build a competing product

We may suspend or terminate any account that violates this section, without notice and without refund.

A5.Intellectual Property

The Platform, including all software, code, design, text, graphics, logos, trademarks, the Bowers name, and all improvements, is owned by Bowers Innovation Co., Ltd. or its licensors and is protected by Thai and international intellectual property law. You receive a limited, revocable, non-exclusive, non-transferable right to use the Platform as permitted by these Terms. No other rights are granted.

Any feedback, suggestions, or ideas you give us may be used by Bowers freely, without payment or attribution.

A6.Platform Availability and Changes

We work to keep Bowers available at all times but do not guarantee uninterrupted, error-free, or secure operation. We may change, update, suspend, limit, or discontinue any feature or the whole Platform at any time, with or without notice, and without liability to you.

A7.Third-Party Services

The Platform connects with third-party services including LINE, Google (including Reserve with Google and Google Business Profile), payment processors, PromptPay, banks, SMS and email providers, and others. These services are governed by their own terms and are outside our control. We are not responsible for their availability, accuracy, security, policies, or any loss arising from them.

A8.Privacy and Personal Data

Our handling of personal data is described in the Bowers Privacy Policy, which forms part of these Terms. Bowers complies with Thailand's Personal Data Protection Act B.E. 2562 (PDPA).

Where a Merchant collects Customer data through the Platform, the Merchant is the data controller of that data and Bowers acts as a data processor on the Merchant's instructions. Merchants are solely responsible for their own PDPA compliance, including obtaining consent, handling data subject requests, and lawful use of Customer data.

A9.Communications

By using Bowers you consent to receive transactional messages (booking confirmations, reminders, billing notices, security alerts) by email, SMS, LINE, push notification, or phone. These are part of the service and cannot be fully opted out of while your account is active. Marketing messages can be opted out of at any time.

PART B

MERCHANT TERMS (STORE OWNERS)

This Part applies to every business that registers a Bowers account, including businesses that registered before the Effective Date of these Terms.

B1.Merchant Responsibilities

As a Merchant, you are solely responsible for:

  • the quality, safety, legality, and delivery of every service you offer
  • your licenses, permits, tax registration, and compliance with all applicable laws, including consumer protection, labour, health, safety, and tax law
  • the accuracy of your business profile, service menu, prices, durations, staff listings, opening hours, and policies
  • your own cancellation, deposit, refund, no-show, and late-arrival policies, and for communicating them to Customers
  • all interactions with your Customers, including complaints, refunds, injuries, and disputes
  • your staff and contractors, including their conduct and their access to your Bowers account
  • the accuracy of all data you enter, including payroll, commission rates, inventory counts, and costs
  • backing up any data you consider critical

Bowers is not a party to any transaction between you and your Customers.

B2.Free Trial

B2.1 Trial offer. Bowers may offer a free trial period to new Merchants. The standard trial length is 14 days. Bowers may, at its sole discretion, offer longer or shorter trials (for example, 30, 60, or 100 days) through promotions, events, sales representatives, or partner programs. The trial length that applies to you is the one shown at signup or confirmed in writing by Bowers. Trial lengths may change at any time for new signups and do not apply retroactively to existing accounts.

B2.2 Payment method required. To start a trial, you may be asked to add a valid payment method (credit card, debit card, or other accepted method). By adding a payment method, you expressly authorize Bowers and its payment processor to charge that payment method for the subscription plan you selected when the trial ends, and on each renewal date after that, until you cancel.

B2.3 Automatic conversion to paid. Your trial converts automatically to a paid subscription at the end of the trial period. You will be charged the then-current fee for your selected plan on the first day after the trial ends. No further action, confirmation, or reply from you is required for this charge to occur.

B2.4 Your responsibility to cancel. If you do not wish to be charged, you must cancel before the trial ends using the cancellation method in Section B5. It is entirely your responsibility to track your trial end date and to cancel in time.

B2.5 Reminders and outreach are a courtesy only. Bowers may send trial-ending reminders by email, SMS, LINE, or phone, and our team may attempt to contact you about your account. These communications are provided as a courtesy. Bowers has no obligation to contact you, and any failure by you to receive, open, read, or respond to such communications does not cancel your trial, does not prevent conversion to paid, and does not entitle you to a refund.

B2.6 Silence is not cancellation. Not responding to Bowers, not logging in, not using the Platform, not completing setup, not answering calls or messages from our sales or support team, or changing your mind without notifying us through the cancellation method does not constitute cancellation. Your subscription remains active and billable until you cancel in accordance with Section B5.

B2.7 No refund for unused trial or forgotten cancellation. Fees charged after a trial ends are non-refundable, including where you forgot to cancel, did not see a reminder, did not use the Platform, or believed your trial was longer or shorter than it was.

B2.8 One trial per business. Trials are limited to one per business and per payment method. Creating multiple accounts to obtain additional trials is a breach of these Terms.

B2.9 Trial-to-paid disclosure. At the time you add a payment method, we disclose the trial length, the plan price, the billing frequency, and the date of first charge. Proceeding after that disclosure is your express consent to the charges described.

B3.Subscription and Billing

B3.1 Plans and fees. Subscription fees, plan features, and billing frequency are shown on bowers.app or in your signed order form. Fees are in Thai Baht unless stated otherwise and are exclusive of VAT and any other applicable taxes, which will be added where required.

B3.2 Automatic renewal. All subscriptions renew automatically at the end of each billing period (monthly or annual) at the then-current rate, until cancelled. You authorize us to charge your payment method on file for each renewal.

B3.3 Payment failures. If a charge fails, we may retry it, suspend your account, restrict features, or terminate your account. You remain liable for all unpaid amounts. You are responsible for keeping a valid payment method on file.

B3.4 Price changes. We may change fees for renewal periods by giving at least 30 days' notice by email or in-app notice. Continued use after the change takes effect is acceptance of the new fee.

B3.5 Chargebacks. If you initiate a chargeback or payment dispute for a charge that was made in accordance with these Terms, we may suspend your account immediately, recover the disputed amount plus any fees incurred, and refuse future service. Please contact support@bowers.app before contacting your bank; most billing issues can be resolved directly.

B3.6 No refunds. Except where required by law or expressly stated in writing by Bowers, all fees are non-refundable, including for partial periods, unused features, downgrades, or accounts suspended or terminated for breach.

B4.Upgrades, Downgrades, and Add-Ons

Upgrades take effect immediately and are billed on a prorated basis. Downgrades take effect at the next billing date. Add-on features (such as SMS credits, AI features, or additional locations) are billed as described at the time of purchase and may be usage-based.

B5.Cancellation by Merchant

You may cancel your subscription or trial at any time through your account settings (Billing > Cancel Subscription) or by emailing support@bowers.app from the email address registered to your account. Cancellation is effective only when confirmed by Bowers in writing or reflected in your account dashboard.

Cancellation takes effect at the end of the current billing period. You will retain access until then. No refund is issued for the remaining period.

A cancellation request made verbally to a sales representative, by social media message, by ignoring communications, or by stopping use of the Platform is not a valid cancellation.

B6.Suspension and Termination by Bowers

We may suspend or terminate your account immediately, without notice or refund, if you:

  • breach these Terms
  • fail to pay fees when due
  • provide false information
  • use the Platform in a way that harms Bowers, Customers, or third parties
  • are the subject of repeated credible Customer complaints
  • engage in fraudulent, abusive, or illegal activity

We may also terminate any account for convenience with 30 days' notice.

B7.Merchant Content and Listings

You grant Bowers a worldwide, royalty-free, non-exclusive license to host, display, reproduce, and distribute your business name, logo, photos, service descriptions, prices, and other content you provide ("Merchant Content") for the purpose of operating and promoting the Platform, including on your Bowers booking page, in search results, on Google, LINE, social media, and marketing materials.

You represent that you own or have rights to all Merchant Content and that it does not infringe any third-party rights. You are solely responsible for its accuracy and legality.

B8.Bookings, Payments, and Deposits

B8.1 Direct relationship. Every booking made through Bowers creates a contract between you and the Customer. Bowers is not a party to it.

B8.2 Payments between you and Customers. Where the Platform supports deposits, prepayments, or slip verification (including PromptPay), payments are made directly from the Customer to you or to your payment processor account. Bowers does not hold, control, or act as custodian of Customer funds unless we expressly state otherwise in writing. You are responsible for collecting payment, issuing receipts and tax invoices, and handling refunds under your own policies.

B8.3 Slip verification. Slip verification tools are provided to assist you. Bowers does not guarantee that any verified slip represents cleared funds. You remain responsible for confirming payment before providing services.

B8.4 No-shows and cancellations. You set and enforce your own no-show, cancellation, and deposit policies. Bowers does not guarantee Customer attendance and is not liable for revenue lost from no-shows, late cancellations, or Customer disputes.

B9.Payroll, Commission, and Inventory Tools

Payroll, commission, tip, and inventory features are calculation and record-keeping tools. Outputs depend entirely on the data, rates, and rules you enter. Bowers does not provide accounting, tax, or legal advice and does not guarantee that any calculation complies with Thai labour law, tax law, or your employment agreements. You are responsible for reviewing all outputs before relying on them and for all payments made to staff, suppliers, or authorities.

B10.AI and Automated Features

Some features use artificial intelligence, including automated messaging, scheduling suggestions, AI receptionist or voice features, and content generation. AI outputs may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing and approving AI-generated content and decisions before they affect your business or Customers. Bowers is not liable for any loss arising from AI outputs.

B11.Reserve with Google, LINE, and Other Integrations

We may list your business through Reserve with Google, Google Business Profile, LINE, and other channels. These platforms control whether and how your business appears. Bowers does not guarantee placement, ranking, visibility, booking volume, or new Customers from any integration, and we may suspend any integration at any time.

B12.Data and Export

You own your business data. During an active subscription, you may export Customer and booking data in the formats we make available. After termination, we may retain your data for up to 90 days before deletion, during which time you may request an export. After that period, data may be permanently deleted and we have no obligation to retain or recover it.

B13.Staff Access

You are responsible for managing which staff members have access to your account, what permissions they hold, and for revoking access when staff leave. Actions taken by your staff through your account are treated as your actions.

B14.Acknowledgement for Existing Merchants

If you registered before the Effective Date, these Terms replace any prior terms from the Effective Date onward. By continuing to access or use the Platform, keeping a payment method on file, or remaining subscribed after the Effective Date, you accept these Terms, including Sections B2 through B6 on trials, billing, and cancellation. Charges that occurred under prior terms were made in accordance with the terms you accepted at the time, and your continued use confirms your acceptance of those charges.

PART C

CUSTOMER TERMS (PEOPLE WHO BOOK)

C1.Bowers Is Not the Service Provider

When you book through Bowers, you are booking with an independent Merchant. Bowers is a technology intermediary only. The Merchant alone is responsible for performing the service, for its quality, safety, outcome, and pricing, and for handling any complaint, refund, injury, allergic reaction, or dissatisfaction.

C2.Bookings

A booking is confirmed when you receive a confirmation from the Platform. Bookings are subject to the Merchant's availability and may be changed or cancelled by the Merchant. Bowers does not guarantee that any Merchant will honour a booking or be open at the scheduled time.

C3.Deposits, Prices, and Payments

Prices are set by Merchants and may differ from those displayed if the Merchant updates them. Any deposit, prepayment, or payment you make goes to the Merchant, not to Bowers, unless we expressly state otherwise. Refunds of deposits are governed by the Merchant's own policy. Bowers does not process or hold your payment and cannot issue refunds on a Merchant's behalf.

C4.Cancellation and No-Shows

Each Merchant sets its own cancellation, late-arrival, and no-show policy, which is displayed at booking. By booking, you agree to that policy. Merchants may forfeit deposits or charge fees under their policies. Bowers is not responsible for enforcing, waiving, or refunding any such charge.

C5.Reminders

Bowers may send you booking reminders by SMS, email, LINE, or push notification. Reminders are a courtesy. Failure to receive a reminder does not excuse a missed appointment.

C6.Your Conduct

You agree to provide accurate information, attend booked appointments or cancel in accordance with the Merchant's policy, treat Merchant staff respectfully, and not use the Platform to harass, defraud, or harm any Merchant. We may suspend Customers who repeatedly no-show or abuse the Platform.

C7.Reviews and Content

If you submit reviews, photos, or other content, you grant Bowers a royalty-free license to display and use it. Content must be truthful and your own. We may remove any content at our discretion.

C8.Health and Safety

You are responsible for informing the Merchant of any allergies, medical conditions, pregnancy, medications, or sensitivities before receiving a service. Bowers does not screen Merchants for licensing, hygiene, or qualifications and makes no representation about the suitability or safety of any service for you.

C9.Your Data

Your personal data is collected by Bowers and shared with the Merchant you book with. The Merchant is responsible for how it uses your data after the booking. See the Bowers Privacy Policy for details.

PART D

LEGAL TERMS (ALL USERS)

D1.Disclaimer of Warranties

The Platform is provided "as is" and "as available." To the fullest extent permitted by law, Bowers disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Platform will meet your requirements, generate bookings, increase revenue, reduce no-shows, or produce any particular business result.

D2.Limitation of Liability

To the fullest extent permitted by applicable law:

  • Bowers is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost bookings, lost data, business interruption, or reputational harm, however caused and under any theory of liability, even if advised of the possibility.
  • Bowers is not liable for any act, omission, service, injury, loss, or damage caused by any Merchant, Customer, staff member, or third-party service.
  • Bowers is not liable for charges made in accordance with these Terms, including trial conversions and renewals.
  • Bowers' total aggregate liability to you for all claims arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the subscription fees you paid to Bowers in the 3 months immediately before the event giving rise to the claim, or (b) THB 1,000.

Some jurisdictions do not allow certain exclusions. In those cases, our liability is limited to the minimum extent permitted by law.

D3.Indemnification

You agree to defend, indemnify, and hold harmless Bowers Innovation Co., Ltd., its directors, officers, employees, contractors, and agents from and against all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to:

  • your use of the Platform
  • your breach of these Terms or any law
  • your Merchant Content or Customer content
  • any service provided or received through the Platform
  • any dispute between you and another user
  • any claim by your staff, Customers, suppliers, or tax or regulatory authorities relating to your business

D4.Release

If you have a dispute with another user (including any Merchant or Customer), you release Bowers from all claims, demands, and damages of every kind arising out of or connected with that dispute.

D5.Dispute Resolution

D5.1 Contact us first. Before starting any formal proceeding, you agree to contact support@bowers.app and give us 30 days to try to resolve the issue informally.

D5.2 Arbitration. Any dispute that cannot be resolved informally shall be finally settled by arbitration administered by the Thai Arbitration Institute (TAI), Office of the Judiciary, in Bangkok, under its rules, by a single arbitrator, in the English language unless otherwise agreed. The arbitral award is final and binding.

D5.3 No class actions. To the fullest extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

D5.4 Injunctive relief. Nothing in this section prevents Bowers from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or the security of the Platform.

D5.5 Time limit. Any claim against Bowers must be brought within one year after the cause of action arises, or it is permanently barred.

D6.Governing Law

These Terms are governed by the laws of the Kingdom of Thailand, without regard to conflict of law principles. Subject to Section D5, the courts of Bangkok, Thailand have exclusive jurisdiction.

D7.Force Majeure

Bowers is not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, government action, war, terrorism, labour disputes, internet or telecommunications failures, power outages, cyberattacks, or failures of third-party providers.

D8.Changes to These Terms

We may update these Terms at any time. We will post the updated Terms on bowers.app and update the "Last Updated" date. For material changes affecting Merchants, we will make reasonable efforts to notify you by email or in-app notice. Your continued use of the Platform after the updated Terms take effect constitutes acceptance. If you do not agree, you must stop using the Platform and cancel your account before the changes take effect.

D9.Assignment

You may not assign or transfer these Terms or your account without our written consent. Bowers may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

D10.Entire Agreement

These Terms, the Privacy Policy, and any signed order form constitute the entire agreement between you and Bowers and supersede all prior agreements, representations, and understandings, whether written or oral, including any statement made by a sales representative that is not reflected in these Terms or a signed order form.

D11.Severability and Waiver

If any provision of these Terms is held unenforceable, it shall be modified to the minimum extent necessary and the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right.

D12.Language

These Terms are written in English. A Thai translation may be provided for convenience. In the event of any inconsistency, the English version prevails to the extent permitted by Thai law.

D13.Survival

Sections A5, B2 through B6, B9, B10, B12, B14, and all of Part D survive termination of your account or these Terms.
